Engagements for live coaching, private mentorship, advisory work, or project execution are initiated only upon the mutual execution of a separate written agreement, which may include, but not limited to:

• Cancellation, rescheduling, or termination policies;

StrategicRX is under no obligation to enter into any service agreement and reserves the right to refuse service to any person or entity for any reason. Until such a written agreement is signed, no engagement, retainer, or duty of care shall be deemed to exist between StrategicRX and any party.

StrategicRX reserves the absolute right to terminate, suspend, or restrict your access to the Website and/or its Services at any time, with or without notice, and for any reason, including (but not limited to):

• Breach of these Terms;

• Violation of applicable law or regulation;

• Suspected fraudulent, abusive, or harmful activity;

• Threats to the integrity, security, or intellectual property of the Website or our business;

In the event of termination:

17.1 Venue for Disputes

Unless otherwise agreed in writing, you agree to submit to the exclusive jurisdiction of the civil courts of the UAE, and specifically the courts located in the emirate in which StrategicRX is registered or domiciled.

Nothing in this section limits StrategicRX’s right to seek injunctive relief or enforce judgments in any other jurisdiction.

18. Dispute Resolution –

Before initiating any formal legal proceedings, both parties agree to first attempt to resolve any dispute, claim, or controversy through good faith informal negotiations for a period of no less than thirty (30) days.

18.1 Optional Arbitration or Mediation

For clients located outside the UAE, or in cases involving complex cross-border work, StrategicRX may offer or agree to resolve disputes via:

• Binding arbitration, in accordance with the rules of the Dubai International Arbitration Centre (DIAC) or another mutually agreed institution; or

• Commercial mediation, facilitated by an independent, neutral third-party mediator.

Any such alternative dispute resolution (ADR) process shall be initiated only upon written agreement by both parties and shall take place virtually or in Dubai, UAE, unless otherwise agreed.

The language of proceedings shall be English, and each party shall bear its own legal costs unless otherwise determined by the arbitrator or mediator.

19. Force Majeure

StrategicRX shall not be held liable for any delay, disruption, or failure to perform any obligation under these Terms or in relation to any Services if such delay or failure results from causes beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather events;

• Internet outages, infrastructure failure, or cyberattacks;

• Epidemics, pandemics, public health emergencies, or governmental lockdowns;

• Labor strikes, industrial disputes, or supply chain breakdowns;

• Civil unrest, terrorism, war, or political instability;

• Changes in laws, regulations, or enforcement policies that impact our ability to deliver services.

In any such event, StrategicRX will make reasonable efforts to resume normal operations and fulfill any pending obligations as soon as it is feasible. Time for performance shall be extended by the duration of such force majeure event. If such event continues beyond sixty (60) days, either party may terminate any affected engagement without liability, except for payment of services already rendered.

20. Miscellaneous Provisions

20.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall remain in full force and effect.

20.2 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any signed service agreement between you and StrategicRX, constitute the entire agreement between you and us regarding your use of the Website and Services, and supersede all prior or contemporaneous communications.

20.3 No Waiver

Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of StrategicRX.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. StrategicRX may assign or transfer these Terms at its discretion without restriction.

20.5 No Agency
